1. Introduction and Acceptance
These Terms of Use ("Terms") govern your access to and use of WallStJobs.com, including all related services, platforms, tools, products, data, communications, and features (collectively, the "Services"), operated by WallStJobs.com Inc. ("WallStJobs," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
These Terms operate in conjunction with your executed Membership Agreement or Subscription Agreement with WallStJobs. In the event of any conflict between these Terms and your Membership Agreement, the terms of your Membership Agreement shall control. Together, these Terms and your Membership Agreement form a binding agreement between you and WallStJobs.
2. Nature of Services
WallStJobs is a subscription-based recruitment support and candidate sourcing platform. The Services may include resume sourcing, candidate identification and categorization, candidate outreach and interest validation (including ShortList and related services), landing pages, scheduling tools, virtual hiring event support, and candidate data aggregation and enrichment.
WallStJobs is not a staffing agency, not an employer of candidates, and not responsible for hiring decisions. You are solely responsible for evaluating, interviewing, hiring, onboarding, compensating, and managing candidates.
3. Eligibility and Authorized Use
The Services are intended solely for direct employers and authorized representatives recruiting on behalf of an employer. You may use the Services only for lawful recruiting and hiring purposes.
You may not use the Services for reselling candidate data, marketing unrelated products or services, lead generation unrelated to employment, competitive intelligence, data harvesting, or any unlawful or discriminatory activity.
4. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree not to share login credentials or permit unauthorized access. WallStJobs may suspend or terminate access at its sole discretion for suspected misuse, security risk, or breach of these Terms.
5. Candidate Data and Accuracy
Candidate information made available through the Services may include resumes, contact details, employment history, education history, enrichment data, LinkedIn information, and communication history.
WallStJobs does not guarantee the accuracy, completeness, authenticity, availability, or timeliness of Candidate Data. WallStJobs does not verify candidate identity and does not guarantee candidate interest or hiring outcomes. You use Candidate Data at your own risk.
6. Data Usage and License Restrictions
All resumes, candidate profiles, contact details, employment history, education information, enrichment data, communication history, and any other candidate-related information made available through the Services ("Candidate Data") are licensed, not sold, to you on a limited, revocable, non-exclusive, non-transferable basis.
Candidate Data is provided solely for your internal recruiting and hiring purposes.
You may not, directly or indirectly, resell, sublicense, distribute, transfer, disclose, publish, or otherwise provide Candidate Data to any third party; use Candidate Data for marketing, advertising, commercial solicitation, lead generation, or any non-employment-related purpose; use Candidate Data for competitive intelligence; aggregate, scrape, export, compile, or systematically store Candidate Data to create or supplement any external or derivative database; use Candidate Data to build talent pools or databases outside your active recruiting workflow; retain Candidate Data beyond a commercially reasonable period necessary for legitimate hiring evaluation; or share Candidate Data across affiliated entities unless expressly authorized in writing by WallStJobs.
Access to Candidate Data is granted as part of a subscription-based access model. Access rights expire upon termination or expiration of your subscription. Upon termination, you must cease accessing the Services and shall not use previously accessed Candidate Data for any new recruiting campaigns.
Unauthorized use of Candidate Data constitutes a material breach of these Terms and may result in immediate suspension or termination of access, in addition to any other remedies available at law or in equity.
WallStJobs reserves the right to monitor usage patterns to detect excessive exporting, scraping behavior, or misuse of Candidate Data.
7. Outreach and Communications
Certain Services may involve candidate outreach via SMS, email, landing pages, scheduling tools, or other electronic communications. WallStJobs may facilitate initial outreach as part of your subscription.
You are solely responsible for your communications with candidates and for compliance with all applicable laws governing employment communications.
WallStJobs does not guarantee response rates, interview rates, hiring outcomes, or retention.
8. SMS and Communication Compliance
Candidate contact data may originate from publicly available sources, resume databases, job board applications, third-party sourcing partners, or candidate-submitted information. While WallStJobs seeks to operate in good faith and use reputable data sources, WallStJobs does not independently verify each candidate's communication consent status.
You are solely responsible for ensuring that your use of candidate contact information complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state privacy laws. You agree to use contact data solely for legitimate employment-related purposes and to honor opt-out requests and communication preferences.
After a candidate is introduced to you, all further communications and compliance obligations are your responsibility.
You agree to indemnify and hold harmless WallStJobs from any claims, fines, penalties, regulatory actions, or lawsuits arising from your communications with candidates.
9. Intellectual Property
All proprietary systems, methodologies, workflows, categorization processes, platform architecture, and content are the exclusive property of WallStJobs.com Inc.
You are granted a limited, revocable, non-transferable license to access and use the Services solely for internal recruiting purposes. You may not reverse engineer, replicate, copy, scrape, or create derivative services based on the platform.
10. Prohibited Conduct
You may not attempt to access unauthorized data, breach security measures, introduce malware, overload systems, interfere with platform functionality, or circumvent subscription limits.
Violation may result in immediate suspension or termination and potential legal action.
11. Fees and Subscriptions
Services are provided pursuant to a Membership Agreement or Subscription Agreement. Failure to pay applicable fees may result in suspension or termination of access. Fees are non-refundable unless expressly stated otherwise in writing.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALLSTJOBS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WallStJobs does not warrant uninterrupted or error-free operation of the Services.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALLSTJOBS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO WALLSTJOBS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL WALLSTJOBS BE LIABLE FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, EMPLOYMENT-RELATED DISPUTES, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
14. Indemnification
You agree to defend, indemnify, and hold harmless WallStJobs and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses arising out of or relating to your use of the Services, your hiring decisions, your communications with candidates, your violation of applicable law, or your breach of these Terms.
15. Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted in Nassau County, New York, before a single arbitrator, and governed by the laws of the State of New York.
The arbitrator shall have exclusive authority to resolve disputes relating to the interpretation, applicability, or enforceability of this arbitration provision.
WallStJobs may seek injunctive or equitable relief in court for intellectual property misuse, data misuse, or security breaches.
16. Class Action Waiver
All dispute resolution proceedings shall be conducted on an individual basis only. You waive any right to participate in a class action, consolidated action, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.
If this class action waiver is found unenforceable, disputes shall proceed exclusively in the state or federal courts located in Nassau County, New York.
17. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
18. Amendments
WallStJobs may update these Terms at any time. Continued use of the Services following any update constitutes acceptance of the revised Terms.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with your executed Membership Agreement or Subscription Agreement, constitute the entire agreement between you and WallStJobs regarding the Services.
